Terms of Service

These Terms of Service ("Terms") govern your access to and use of RAiN (Rivium AI Network) (the "Platform"), operated by Rivium Analytics Ltd ("Rivium Analytics", "we", "us", or "our"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. What RAiN is
RAiN (Rivium AI Network) is a managed AI-implementation service operated by Rivium Analytics Ltd. You purchase implementation services from RAiN; to deliver them, RAiN may engage vetted, independent experts as subcontractors, and RAiN remains the contracting party responsible for delivery and quality. RAiN does not itself execute AI work — the assigned expert delivers using appropriate external tools and reports evidence back into the Platform. RAiN structures, coordinates, and quality-assures the work.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide, for keeping your sign-in credentials secure, and for all activity under your account. Notify us immediately of any unauthorised use.
3. Roles & responsibilities
- Businesses describe their needs, get matched with an expert, and follow their project through to completion.
- Experts apply, undergo verification, accept or decline match requests, and deliver projects through the milestone workflow, uploading honest and accurate evidence.
- Experts act as independent contractors. RAiN is not the employer of any expert and is not a party to the underlying service relationship except as a coordinating and quality-assurance layer.
4. Matching, projects & QA
Matches are made at our discretion based on the information available. Accepting a match request creates a project with defined milestones. Work is not marked complete until it passes our QA review. We may request revisions, and we may suspend or remove content or accounts that breach these Terms or our standards.
5. Fees & payments
Where fees apply, they will be disclosed to you before you incur them. Unless stated otherwise, fees are exclusive of applicable taxes. Specific commercial terms for an engagement may be set out separately.
Payment & approval (businesses). You pay RAiN for each job through our payment provider's hosted checkout. The payment is for RAiN's implementation services. RAiN is not a bank: it does not hold your money between payments, and does not provide any deposit, savings, or custody account.
You pay RAiN upfront, before your job is matched: the agreed price — the amount shown for the job (your exact budget, or a price RAiN quotes you), inclusive of all RAiN charges — is payable when you submit the job. Our payment provider collects the payment and settles it to RAiN, and RAiN then matches an expert and delivers the work. After the work passes RAiN's quality review, you review it and, if it meets the agreed scope, approve it. On approval, the project is completed and RAiN pays the assigned expert for their delivery as a subcontractor. If we are unable to match your job, or you cancel it before it is matched, the payment is refunded to your original payment method. If delivered work does not meet the agreed scope, raise it through the project's quality review before approving.
Getting paid (experts). For completed, approved projects, RAiN pays you your agreed share of the project fee as a subcontractor. RAiN records a payout for the approved work and pays it to your linked bank account through our payment provider's transfers, once the payout is approved. You do not hold a stored RAiN balance; you see payout records and their statuses.
Subscriptions. We may offer optional paid plans for businesses and experts. Subscriptions are billed in advance on a recurring basis (e.g. monthly) and renew automatically until you cancel. Cancelling stops future renewals; fees already paid for the current period are non-refundable except where required by law. Plan prices and features may change on reasonable notice.
Job-response credits (experts). Experts on free plans receive a starting allocation of job-response credits and spend one credit each time they accept or decline a matched job. Additional credits may be purchased in packs; purchased credits are non-refundable once added to your account and have no cash value.
Refunds. Except where required by law or expressly stated, fees are non-refundable. Where a refund is due, RAiN records the refund and it is returned to your original payment method after our payment provider or bank processes it.
6. Acceptable use
You agree not to: misuse or disrupt the Platform; attempt to gain unauthorised access; upload unlawful, infringing, or harmful content; misrepresent your identity, credentials, or work; scrape or harvest data except via our authorised APIs; or use the Platform to violate any law or third-party right.
7. Intellectual property
The Platform, including its software, design, and content (excluding user content), is owned by Rivium Analytics and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform in accordance with these Terms.
8. User content
You retain ownership of content you submit (including evidence and deliverables). You grant Rivium Analytics a licence to host, store, process, and display that content as necessary to operate the Platform and deliver the service. You are responsible for ensuring you have the rights to submit it.
9. Third-party tools
Experts deliver work in external tools (for example Meta, WhatsApp, n8n, and analytics dashboards). Your use of those tools is governed by their own terms, and Rivium Analytics is not responsible for third-party services.
10. Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Platform will be uninterrupted, error-free, or that outcomes from any project will meet your expectations.
11. Limitation of liability
To the fullest extent permitted by law, Rivium Analytics will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Platform will not exceed the amounts you paid to us in the twelve months preceding the claim.
12. Indemnity
You agree to indemnify and hold harmless Rivium Analytics and its officers, employees, and agents from any claims, losses, or expenses arising from your use of the Platform, your content, or your breach of these Terms.
13. Suspension & termination
We may suspend or terminate your access if you breach these Terms or to protect the Platform or its users. You may stop using the Platform at any time. Provisions that by their nature should survive termination will do so.
14. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria will have jurisdiction over any disputes, without prejudice to any mandatory consumer protections that apply to you.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the effective date. Continued use after changes take effect constitutes acceptance.
